The New York-based attorneys in our US corporate group regularly advise on a wide range of transactional, commercial and general corporate matters in connection with mergers and acquisitions, private equity transactions, spin-offs, joint ventures and securities offerings, with a particular emphasis on US and cross-border mergers and acquisitions and related activities. We also help clients across an ambit of industry sectors to manage and resolve their day-to-day legal and commercial issues, including providing advice on corporate governance, financial reporting and SEC disclosure (including Sarbanes-Oxley Act compliance and best practices). Freshfields' integrated international practice allows us to provide local and sector advice on the most complex, multijurisdictional transactions that have important US components.

Attorneys in our US corporate group in Europe and Asia also form an essential part of the firm's corporate team. Each of our European- and Asian-based partners has many years of experience advising non-US companies in connection with US securities and corporate law and regularly liaison with our US corporate team in New York on a wide range of matters. We have the capacity to manage and execute the most complex US-related European and Asian transactions. With an emphasis on securities transactions, our US corporate group in Europe and Asia handles a large number of private and SEC-registered equity and debt (particularly high yield) offerings. We also act on a variety of restructuring transactions, de-mergers and spin-offs and have a significant practice advising non-US companies on the US securities law aspects of public M&A transactions.
