Our New York-based finance practice consists predominately of work in asset finance, acquisition and property finance, private placements, project finance and structured finance.

In addition to these specialized areas of expertise, we advise on a wide range of general finance and banking transactions. In particular, we work with clients on a variety of secured and unsecured commercial lending transactions, and frequently advise on term and revolving loan credit agreements, participation agreements, letters of credit, bankers' acceptances and other instruments customarily used in the commercial banking industry.

We also regularly work on foreign exchange, repurchase, options, forward sale and securities lending transactions, as well as advise on compliance procedures, master trading documentation, custody relationships and clearing systems and exchanges. In addition, we have a dedicated real estate practice that focuses on complex real estate finance, capital markets placements and investment funds.

Combined with the strength of our international network, we have the ability to manage and advise on a wide variety of domestic and international finance transactions.

Asset Finance

Our US-based asset finance lawyers advise on innovative leasing transactions. We are experienced in all types of asset finance and related business transactions, including operating and finance leases, leveraged leases, securitizations, tax-driven and off-balance-sheet structures, purchase agreements and residual value guarantees.

Private Placements

Our extensive experience acting for both the issuer and institutional investor in private placement financings enables us to provide valuable advice on their structuring and execution. We have worked on many transactions that have used the model private placement form and have an unparalleled understanding of how to use the form and when departures might be permitted. Our experience in cross-border transactions gives us insight into the negotiation of issues particular to such deals (including tax indemnities).

Our New York-based finance lawyers are also experienced in all aspects of Rule 144A/Regulation S and other exempt debt offerings. We have acted for issuers, underwriters, investors and other participants in such offerings in a variety of industry sectors.

Project Finance

Innovation and creativity are essential attributes of today's project finance lawyer. As the project finance market matures, sponsors and financiers are seeking ever more complex and sophisticated ways to develop and finance projects. Our lawyers in the US are at the center of this innovation and development. We are active in a number of cutting edge areas, including the creation of investment funds where debt and equity are invested in project financings, leasing and securitization of project-related revenues, as well as project bond work.

We also have an experienced group of lawyers in our New York office specializing in infrastructure finance and related transactions. One of the cornerstones of our practice is the ability to represent clients in transactions governed by either New York or English law, which are usually the laws of choice for the documentation in international project finance transactions. In the US we offer clients the benefits of both US- and UK-qualified lawyers and access to our worldwide team of over 150 project finance specialists.

Having acted for sponsors, commercial and multilateral lenders, suppliers, governments, contractors and export credit agencies, we are able to bring to any transaction a wealth of understanding of the needs and concerns of all parties. We have worked on a wide range of transactions in this sector all over the world, including buying and selling power companies, joint ventures, power projects in all forms, market restructurings and electricity trading.

Structured Finance

Our US-based structured finance team is involved in advising on the development of complex tax-driven products and derivative based transactions, including credit, commodity, equity and insurance derivatives, collateralized debt obligation funds (CDOs), capital raising/arbitrage transactions, securitizations, synthetic securities, repackagings, conduits and future flow transactions.

Many transactions on which we advise are designed to take advantage of cross-border arbitrages; our teams works with our international corporate, securities and tax specialists who are familiar with the latest financial technologies applicable to multiple jurisdictions. Our lawyers in the US are closely linked to our worldwide structured finance team of over 200 lawyers, allowing them to access the expertise and experience of our lawyers in the European and Asian markets to address the concerns of rating agencies, financial guaranty insurance providers and other institutions that establish such standards. We have advised on transactions involving virtually all significant asset classes.

We are recognized as having one of the leading derivatives practices in New York. We regularly advise dealers and end-users in relation to derivatives (including credit, commodity, energy, equity, FX and interest rate products), repos, foreign exchange and other over the counter financial products.

We are also experienced in advising on the regulatory issues that can arise in the structuring of products of this type, and monitor regulatory developments on both a domestic and international level to ensure we advise our clients on issues that may affect their business. A trend that is becoming increasingly important to our practice is the use of structured equity and debt products (by both financial institutions and corporates), combining capital market products and derivatives to develop innovative solutions.

As well as advising banks on synthetic share repurchase and treasury stock schemes, we have advised on a number of equity monetizations and other equity derivative structures, enabling substantial equity stakes to be sold synthetically. On behalf of our hedge fund clients, we have reviewed all significant prime brokerage and trading documentation with most major Wall Street bank/broker-dealer counterparts.

We have vast experience in advising US-based clients on international financings involving acquisition finance, real estate portfolios and non-performing loan portfolios both for lenders and borrowers.
