  • Advising JP Morgan as administrative agent, letter of credit issuer and lender under a $930 million revolving and term credit agreement extended to Peabody Energy Corporation. The matter involved a restructuring with Revolving and Term lenders under the JPM Facility and two note issuances maturing in 2022 and 2025, respectively.
  • Advising Vertex, Inc., a provider of integrated tax technology solutions, on its refinancing of its existing bank facilities with a $50 million term loan and $200 million revolving credit facility.
  • Advising the administrative agent and a lender steering committee with respect to Babcock & Wilcox, a global power and renewable energy company, in a series of restructurings transactions of a $650 million revolving credit facility.
  • Advising Barings LLC on the purchase of privately placed notes from Anagram International, Inc., a wholly-owned subsidiary of Party City Holdings Inc.
  • Advising Barings LLC as lender in the restructuring of approximately $55 million of bank debt, and an incremental financing to, a commercial and industrial provider of electrical distribution systems and equipment.
  • Advising Capital One, National Association, in connection with the restructuring of a $350 million revolving credit facility extended to StoneMor, LLP, a publicly traded MLP and leading death care provider operating in 50 states.  The matter included the negotiation of a complex intercreditor agreement with a junior creditor and the restructuring of the credit facility over a series of amendments.
  • Advising Mizuho Bank, Ltd., as facility agent for the lenders, on the restructuring of project financing indebtedness incurred by Olympia Shipping B.V., a Dutch company, with respect to a compact semi-submersible offshore accommodation vessel owned by the borrower and under charter to Petrobras Netherlands B.V.
