Freshfields advises Deutsche Lufthansa on the financing of five Airbus A320NEO aircraft

Freshfields Bruckhaus Deringer (‘Freshfields’) advised Deutsche Lufthansa AG (DLH) on its financing of five Airbus A320NEO aircraft.

The aircraft were financed through sale and lease back structures, with a subsidiary of NTT TC Leasing Co, Ltd. (NTT) acting as lessor and, at the same time, debt-financier. The structures are bespoke in that the transactions are set up with fully debt-funded warehousing structures. The warehousing structures allow for a subsequent structural change in the lessor. In order to address such structural changes, the pre-agreed documentation covers alternative investment structures. All five transactions closed on 29 July 2021.

Freshfields advised DLH on all aspects of the transaction throughout its structuring, documentation, negotiation and implementation.

The DLH team was headed by Markus Ohlert and Matthias Eck.
