Global law firm Freshfields has advised the Italian technology company Bending Spoons S.p.A. on its acquisition of komoot GmbH, a German tech platform specialising in outdoor and routing activities. With over 45 million users worldwide, especially in Europe, komoot is particularly popular among hikers, cyclists and trail runners.

Der Vollzug der Fusion, mit der unter dem Namen „Helvetia Baloise Holding AG“ der zweitgrößte Schweizer Versicherer entstehen wird, ist für das vierte Quartal 2025 vorgesehen – vorbehaltlich aufsichts- und kartellrechtlicher Bewilligungen sowie der Zustimmung der Aktionäre von Baloise und Helvetia.

Global law firm Freshfields has advised RWE on its agreement with Norges Bank Investment Management (NBIM) regarding the sale of a 49% stake in the 1.6-gigawatt Nordseecluster and 1.1-gigawatt Thor offshore wind projects located in Germany (Nordseecluster) and Denmark (Thor). The agreed purchase price is approximately €1.4 bn, valuing the project at around €2.87 bn. Closing of the transaction is subject to customary approvals and expected by beginning of the third quarter of 2025.
